In the Morning on Wednesday, 29 April 2026 at 6th floor Meeting Room, Joint Development Bank Public (JDB), Vientiane Capital, The Annual General Meeting of Shareholders of Joint Development Bank Public For the year 2025 was presided over by Mr. Vilay SYPHAPHONE, Chairman of JDB’s Board of Directors, together with Directors of the Board of Directors, Board of Management, Representatives of Lao Securities Commission, Lao Securities Exchange, External audit firm and shareholders.<\/p>\n\n\n\n

The Meeting was attended by themselves 50 shareholders with total 658,184,634 shares or equal to 87.758% of the total shares of JDB; 1 proxie with total 30,359,975 shares or equal to 4.048%; 308 online participant with total 14,357,091 shares or equal to 1.941%. The quorum of the Meeting was attended with total 359 shareholders with total 702,901,700 shares or equal to 93.720% of the total 2,054 shareholders of total 750,000,000 shares. The number of shares not attending the Meeting was 47,098,300 shares, equivalent to 6.28% of the total shares of JDB.<\/p>\n\n\n\n

The meeting commenced with Mr. Vilay SYPHAPHONE, Chairman of the Board of Directors of JDB, delivering a welcome address and formally opening the meeting. Subsequently, Mr. Sakhone YORPHANXAY, Managing Director of JDB, proceeded to lead the meeting agenda, which comprised 10 agenda as follows:<\/p>\n\n\n\n

Agenda 1: <\/strong>To consider and adopt the Resolution of the 2024 Annual General Meeting of Shareholders.<\/p>\n\n\n\n

Agenda 2: <\/strong>To consider and approve the Registered Capital Increase via Share Premium for a Bonus Issue to existing shareholders.<\/p>\n\n\n\n

Agenda 3<\/strong>: To consider and approve the annual report on the operational performance and the Audited financial statements of JDB for the year 2025.<\/p>\n\n\n\n

Agenda 4<\/strong>: To consider and approve the business plan of the year 2026.<\/p>\n\n\n\n

Agenda 5<\/strong>: To consider and approve the investment in Individual Fund.<\/p>\n\n\n\n

Agenda 6<\/strong>: To consider and approve the Joint Venture to establish Lao Asset Management Company Limited.<\/p>\n\n\n\n

The meeting was conducted with all agenda items completed by considered and approved the total of 10 agenda items were reviewed and approved, and the resolutions were passed by a majority vote of the shareholders attending the meeting. In particular, the meeting approved the dividend payment plan of JDB as follows: proposed dividend of 800 LAK\/share, with a total dividend amount of 600,000,000,000 LAK. Dividend payment date: 25 May 2026.<\/p>\n\n\n\n
